SmartSwitch Terms

How You Enable SmartSwitch
You enable SmartSwitch by checking the separate SmartSwitch checkbox in the online utility setup flow, or by turning SmartSwitch on in the app. SmartSwitch is optional, is presented unchecked (or off) by default, and is never required to complete utility setup. It takes effect only if you enable it and only while you have an active Letter of Authorization. You can turn SmartSwitch off at any time, as described in Section 5.
1) What SmartSwitch Is; Relationship to the Letter of Authorization
SmartSwitch is an optional service through which Utility Wallet monitors available plans and providers for Customer’s service address and, subject to the notice and confirmation process in Section 3, switches Customer’s utility, retail energy, telecom, or internet service to a different plan or provider when Utility Wallet reasonably believes the switch offers better pricing, service quality, reliability, or other customer value.
These SmartSwitch Terms supplement the Utility Wallet Letter of Authorization (the “LOA”, current version at utilitywallet.com/utility-agreement/v2026-05-17). SmartSwitch requires an active LOA. The LOA alone does not authorize provider switching; switching authority arises only from Customer’s separate, affirmative SmartSwitch consent under these Terms. If the LOA is revoked, SmartSwitch terminates automatically.
Defined terms not defined here have the meanings given in the LOA.
2) Switching Authority
If Customer enables SmartSwitch, Customer authorizes Utility Wallet, acting as Customer’s agent, to: (a) compare plans, rates, terms, and providers available at the service address using the account and usage data described in the LOA; (b) enroll Customer with a new provider or plan identified through that comparison, following the notice and confirmation process in Section 3; (c) execute enrollment forms, supply agreements, and related provider documents in Customer’s name as needed to complete a confirmed switch; and (d) coordinate switch timing with current and new providers to avoid service interruption.
SmartSwitch authority applies only while SmartSwitch is enabled and only to service categories Customer has set up through Utility Wallet, unless Customer separately adds other categories in the app.
3) Pre-Switch Notice and Confirmation
Pre-Switch Notice. Before completing any switch, Utility Wallet will send Customer a switch notice through the app, email, or text message on file. The notice will identify: the new provider and plan; the rate or price structure and contract term; any early termination fee Utility Wallet knows applies to Customer’s current plan; any enrollment, connection, or deposit charges for the new plan; the estimated switch date; and how to decline.
Confirmation Window. The switch will not be completed earlier than seven (7) days after the switch notice is sent. Customer may decline the switch at any time during this window with one tap in the app or by replying to the notice, and the switch will not occur. Where applicable law, market rules, or provider rules require affirmative confirmation, third-party verification, or another verification process, Utility Wallet will complete the switch only after that process is completed, and the no-action window described above does not substitute for it.
Early Termination Fee Safeguard. Utility Wallet will not complete a switch that it knows would trigger an early termination fee on Customer’s current plan unless the switch notice disclosed that fee and either (a) Customer affirmatively confirmed the switch, or (b) the reasonably expected benefit of the switch over the new plan’s term exceeds the fee, as described in the switch notice.
Switch Confirmation. After a switch is completed, Utility Wallet will send Customer a confirmation identifying the new provider, plan, rate, term, and effective date.
4) No Guaranteed Savings; Fees
Utility Wallet does not guarantee savings or specific outcomes. Actual costs depend on usage, market conditions, provider fees, and provider policies. Customer remains responsible for all provider charges, including charges under plans entered through SmartSwitch, deposits, connection fees, early termination fees, late fees, and other provider-imposed charges, subject to the safeguard in Section 3.
5) Duration; Turning SmartSwitch Off
SmartSwitch remains enabled until Customer turns it off or revokes it, or until the LOA is revoked. Customer may turn SmartSwitch off at any time in the app or by contacting Utility Wallet at the contact information below, without affecting the rest of the LOA. Turning SmartSwitch off applies prospectively: it stops future switches but does not undo switches already completed, and may not stop a switch already in progress with a provider at the time Utility Wallet receives and processes the request. Plans entered into before SmartSwitch was turned off remain between Customer and the provider.
6) Records
Utility Wallet may capture and retain evidence of SmartSwitch consent and operation, including the SmartSwitch Terms version and content hash, exact checkbox or toggle text shown, initial state, click timestamp, IP address, user agent, device or session identifiers, each switch notice sent (content, channel, and timestamp), Customer confirmations or declines, third-party verification records where applicable, and switch completion confirmations. These records are maintained separately from, and in addition to, the LOA authorization records.
7) Jurisdictional Limits
SmartSwitch operates only where permitted by applicable law, market rules, and provider rules. Some jurisdictions require third-party verification, wet signatures, specific enrollment forms, or direct customer confirmation for provider switches; in those jurisdictions Utility Wallet will follow the required process or will not perform the switch. SmartSwitch may be unavailable for some service categories, providers, or locations.
8) Liability
The liability terms in Section 11 of the LOA apply to SmartSwitch. In addition, except for willful misconduct or gross negligence, Utility Wallet is not liable for provider rate changes after a switch, provider performance, or market price movements that occur after a switch is completed in accordance with these Terms.
9) Governing Law and Dispute Terms
These SmartSwitch Terms are governed by the same governing law and dispute resolution terms as the LOA, including the arbitration agreement and class action waiver in Section 12 of the LOA, which apply to any dispute arising out of or relating to SmartSwitch.
10) Changes to These Terms
Utility Wallet may update these SmartSwitch Terms from time to time. Each revision, including corrections, receives a new version identifier and a new immutable URL; version identifiers are never reused. Material changes will be presented for review and new consent where required. SmartSwitch consent records will reference the version shown at the time of consent.
